Acceptance

By clicking "I agree," creating an account, or continuing to use the Services after notice of updated terms, you accept these Terms, the User Disclaimers and Risk Allocation Framework, and represent that you have authority to bind any entity you represent.

Changes

We may update these Terms by posting the revised version and updating the "Last Updated" date. Material changes will be notified in-product or by email at least 14 days in advance. Your continued use after the effective date constitutes acceptance.


1. DEFINITIONS

"EASiHub" or "Platform" or "we" or "Company" means the enterprise application knowledge and professional services platform operated by Unicax Inc., a California S-Corporation. Throughout these Terms, references to "EASiHub," "Platform," "Company," "we," "us," and "our" refer to Unicax Inc. as platform operator.

"Services" means the technology platforms, tools, and facilitation services provided across all domains, including websites, applications, and related systems.

"Community Member" means users of community.easihub.com participating in educational discussions and professional networking.

"Knowledge Hub" means the educational content platform accessible through community.easihub.com or related domains, providing articles, tutorials, guides, and educational content regarding enterprise software systems, implementation practices, and professional development topics.

"Article Content" or "Articles" means educational articles, tutorials, technical guides, implementation discussions, case studies, and related content available through Knowledge Hub, which may be contributor-generated, AI-assisted, or AI-generated. Article Content is subject to the limitations, disclaimers, and risk allocation provisions set forth in Section 10.5 of these Terms and Section V of the User Disclaimers and Risk Allocation Framework.

"Client" means users of talent.easihub.com seeking to engage Professional services.

"Professional" means independent business operators offering services through talent.easihub.com.

"Services" means the technology platforms, tools, and facilitation services provided by EASiHub across all domains, including but not limited to Community forums, Knowledge Hub, Talent marketplace, Academy, and future services.

"AI Features" means artificial intelligence and machine learning capabilities including but not limited to: content enhancement and generation, professional matching assistance, search optimization, recommendation systems, topic and reply summarization, topic posting assistance, article content generation, and related AI-powered functionality. AI Features are subject to the limitations and disclaimers set forth in Section 8 and in the User Disclaimers.

"Escrow" means the tri-party payment facilitation service described in separate Escrow Agreement schedules.

"Fee Schedule" means the separate document detailing all applicable fees, commissions, and pricing.

"Data Bridge" means the cross-service data sharing framework described in Privacy Policy appendices.

"User Disclaimers" or "User Disclaimers and Risk Allocation Framework" means the comprehensive legal document setting forth detailed disclaimers, risk allocations, limitation of liability provisions, and user acknowledgments applicable to all EASiHub services, incorporated herein by reference and available at [URL].


2. APPLICABILITY AND HIERARCHY

2.1 Document Structure

These Master Terms provide the foundational legal framework for all EASiHub services. Service-specific terms, policies, and schedules supplement but do not replace these Master Terms except where explicitly stated.

These Master Terms must be read in conjunction with the User Disclaimers and Risk Allocation Framework, which provides detailed risk allocation, comprehensive disclaimer provisions, and specific limitations applicable to all services including Knowledge Hub Article Content and AI Features.

2.2 Order of Precedence

  1. Service-specific addenda and schedules control for their respective services
  2. Master Terms control for cross-service and general provisions
  3. User Disclaimers control for detailed risk allocation, disclaimers, and limitation of liability provisions
  4. Fee Schedule controls all pricing and payment terms
  5. Privacy Policy controls all data processing matters

2.3 SSO Service Isolation

Unified authentication provides technical convenience only and does not create integrated legal obligations, consolidated terms of service, or unified liability across services.

2.4 Electronic Communications

We may provide notices electronically (in-product, by email, or by posting to the Legal Change Log). Electronic notices satisfy legal communication requirements.

3. EASIHUB ROLE AND SAFE HARBOR FRAMEWORK

3.1 Technology Platform Provider

EASiHub operates as a technology platform facilitating connections and transactions between independent users. EASiHub is NOT:

  • A professional services provider or consultant
  • An employer or recruiter of record
  • A broker, agent, or fiduciary (except as limited payment agent)
  • A party to user service agreements
  • An advisor or guarantor of user outcomes
  • A publisher or editor of user-generated content
  • A verifier of professional credentials or content accuracy

3.2 User-to-User Relationship Model

All professional relationships, service agreements, and business transactions occur directly between users. EASiHub provides technology tools to facilitate these connections but does not control, supervise, or participate in user business relationships.

3.3 Limited Payment Agent Role

Where applicable, EASiHub serves as a limited payment agent solely for facilitating payments between users through licensed third-party processors, as detailed in separate Escrow Agreement schedules.

3.4 Enhanced SSO Service Isolation

Authentication Convenience Only: Single Sign-On provides technical convenience across the EASiHub ecosystem and does not create unified legal obligations or integrated service liability.

Service Independence: Each service maintains independent legal frameworks and terms of service. Professional obligations remain service-specific regardless of authentication convenience.

Cross-Service Liability Isolation: Each service operates as a legally independent specialized service with distinct liability frameworks.

3.5 Comprehensive Safe Harbor Protection Framework

Educational Safe Harbor Integration
All community content, including Knowledge Hub Article Content, is provided for educational and informational purposes only. Community discussions and Article Content constitute peer-to-peer educational content and do not create professional advisory relationships.

Fair Use Educational Commentary
Professional discussion of enterprise software features, technical guidance, and implementation approaches constitutes fair use educational commentary protected under applicable educational safe harbor provisions.

Platform Safe Harbor Maintenance
EASiHub operates as an interactive computer service providing forums for third-party content. We are not liable for user-generated content under Section 230 protection framework.

DMCA Safe Harbor Compliance
Copyright infringement claims are handled under our separate DMCA Policy, which maintains required safe harbor protections.

Employment Misclassification Safe Harbor
All marketplace professionals operate as independent businesses with complete autonomy over business decisions, rates, methods, schedules, and client acceptance.

Business Autonomy Protection
Professional service agreements are directly between users. EASiHub provides technology tools but does not control or participate in professional service delivery.

Payment Processing Safe Harbor
EASiHub serves as limited payment agent solely for facilitating payments through licensed third-party processors. Payment facilitation does not create custody liability or payment guarantee obligations.

AI and Technology Safe Harbor
AI features including content generation, summarization, and topic assistance are provided as informational technology tools. AI outputs are suggestions only, never professional advice or guaranteed results. Users maintain complete responsibility for professional judgment and content verification.

3.6 No Agency or Employment

No agency, partnership, joint venture, franchise, or employment relationship is created between EASiHub and any user. No user has authority to bind EASiHub.


4. USER ELIGIBILITY AND ACCOUNTS

4.1 Eligibility Requirements

Users must:

  • Be at least 18 years old or the age of majority in their jurisdiction
  • Have legal capacity to enter binding agreements
  • Provide accurate identity and contact information
  • Comply with all applicable laws and regulations

4.2 Account Creation and SSO Framework

Users create a single account enabling access to multiple EASiHub services. Account creation for any service grants access to others subject to service-specific terms and consent requirements.

By creating an account, you affirmatively acknowledge that you have read, understood, and agree to be bound by both these Master Terms of Service and the User Disclaimers and Risk Allocation Framework, which together govern your use of all EASiHub services including Knowledge Hub Article Content and AI Features.

4.3 Identity Verification

EASiHub may require identity verification for certain services or transaction types. Verification requirements vary by service and are detailed in applicable service-specific terms.

4.4 Export and Sanctions Compliance

You represent you are not on any restricted-party list and will not use the Services in violation of U.S. or applicable export, re-export, or sanctions laws. We may suspend access to comply with such laws and conduct ongoing screening.


5. CONDUCT AND CROSS-SERVICE STANDARDS

5.1 Acceptable Use Framework

Users must comply with the Acceptable Use Policy and all service-specific conduct standards. The AUP contains detailed behavioral requirements, AI usage restrictions, and enforcement procedures.

5.2 Cross-Service Enforcement

EASiHub reserves the right to suspend or terminate access to any or all services for violations of these Master Terms or applicable service-specific terms.

5.3 Anti-Exploitation Measures

Users may not circumvent technical controls, extract data through automated means, create multiple accounts to evade restrictions, or engage in coordinated inauthentic behavior across services.


6. CONTENT AND INTELLECTUAL PROPERTY

6.1 Your Content License to EASiHub

You retain ownership of Your Content. You grant EASiHub a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (solely to reformat for display, enable AI Features, or security scanning), transmit, display, and distribute Your Content to operate, protect, and improve the Services. This license ends when Your Content is deleted from our systems, except for limited archival/backups and where retention is required by law.

This license specifically includes the right to process Your Content through AI Features including but not limited to content enhancement, summarization, topic assistance, and related functionality, subject to user controls and consent requirements set forth in Section 8 and the Privacy Policy.

6.2 EASiHub IP

We and our licensors own all rights in the Services. We grant you a limited, revocable, non-transferable license to access and use the Services for their intended purpose, subject to these Terms.

6.3 Copyright Protection Framework

Copyright infringement claims are handled under our separate DMCA Policy. Users must comply with copyright laws and respect intellectual property rights.

6.4 Professional Content Standards

Community content and Knowledge Hub Article Content are educational and informational only. Professional advice or service relationships require separate agreements through appropriate service channels.


7. PAYMENTS, FEES, AND ESCROW FRAMEWORK

7.1 Fee Structure Framework

All fees, commissions, and pricing are detailed in the separate Fee Schedule. Community services including Knowledge Hub are provided free of charge. Marketplace services may include transaction-based commissions as disclosed.

7.2 Payment Processing Integration

Payments are processed through licensed third-party processors. EASiHub serves as limited payment agent only as described in applicable Escrow Agreement schedules.

7.3 Escrow Service Reference

Where applicable, payment facilitation follows tri-party escrow procedures detailed in separate Escrow Agreement Schedules (H/F/R). If there is any conflict between these Terms and any Escrow Schedule, the Escrow Schedule controls for deposit, release, chargeback, and dispute procedures; EASiHub never takes custody of client funds and acts solely as limited payment agent through licensed processors.


8. AI SERVICES FRAMEWORK

8.1 AI Services Scope and Professional Independence

EASiHub provides AI-powered features including but not limited to:

Content Enhancement and Generation

  • AI-assisted article writing and content creation
  • AI-generated Article Content for Knowledge Hub
  • Writing assistance and editing suggestions
  • Content improvement recommendations

Topic and Discussion Assistance

  • AI-powered topic creation and posting assistance
  • Topic and reply summarization
  • Discussion thread analysis and insights
  • Related content recommendations

Professional and Search Features

  • Professional matching assistance
  • Search optimization and result ranking
  • Recommendation systems
  • Skill and expertise analysis

All AI services are provided as informational assistance only and do not create professional advisory relationships.

AI tool usage does not create advisory relationships with EASiHub, change independent contractor status, or create employment relationships. Users maintain complete professional autonomy regardless of AI tool utilization.

8.2 AI Output Limitations and User Responsibilities

AI Output Disclaimers

AI outputs including summarizations, topic suggestions, article content, and recommendations are suggestions and information, never professional advice, guaranteed results, or binding recommendations. Users must review, validate, and exercise independent professional judgment before relying on or publishing AI output.

CRITICAL AI CONTENT WARNING: AI-generated or AI-assisted content, including Knowledge Hub articles, topic posts, and summaries, may contain factual errors, outdated information, fabricated details (hallucinations), biases, technical inaccuracies, or inappropriate recommendations. Users are solely responsible for verifying accuracy before relying on or sharing AI-generated content.

No Accuracy Guarantees

AI-generated content may be inaccurate, incomplete, outdated, or inappropriate for specific situations. Users remain solely responsible for:

  • All content published using AI assistance
  • Verification of AI-generated facts and recommendations
  • Professional decisions and work quality
  • Client deliverables and professional standards
  • Disclosure of AI assistance where required by professional or ethical standards

AI Summarization Limitations

AI-powered summarization of topics and replies:

  • May omit important context, nuance, or key details
  • May mischaracterize user intent or meaning
  • Does not replace reading full discussion threads
  • Should not be relied upon for critical decisions
  • May contain interpretation errors or biases

Users relying on AI summarizations assume all risks and should verify important information by reviewing original content.

8.3 AI Data Handling and Training Controls

AI Data Processing Transparency

  • AI processing involves third-party providers listed in Privacy Policy Appendix B (live sub-processor list)
  • User content is NOT used for AI training unless explicitly opted-in through separate consent
  • AI processing data retained maximum 90 days (delete on request) unless longer retention explicitly consented
  • Users maintain complete control over AI feature usage and can disable any or all AI features
  • Cross-service AI data sharing requires explicit consent through Data Bridge framework detailed in Privacy Policy

AI processing follows Privacy Policy provisions with user control over data sharing and model training contributions. We may route AI requests to different model providers without notice; current providers listed in Privacy Policy.

User content is not used for AI model training unless explicitly opted-in through separate consent. AI-assisted content may be labeled; users may be required to disclose AI assistance per professional standards.

8.4 AI Feature Controls and User Rights

Users have granular control over AI Features including:

  • Complete opt-out from all AI features while retaining platform access
  • Selective enablement of specific AI capabilities (e.g., summarization only)
  • Revocation of AI processing consent at any time (prospective effect only)
  • Control over whether your content is used for AI model training
  • Access to AI interaction logs for transparency
  • Objection to specific AI processing activities on legitimate grounds

8.5 AI Compliance and Safety Framework

Users have rights regarding automated decision-making as detailed in Privacy Policy. AI assistance does not modify professional licensing, regulatory, or ethical obligations.

We implement measures to detect and mitigate AI bias, but users must exercise independent judgment. AI processing may be temporarily unavailable due to technical issues or capacity constraints.

Professional users must:

  • Maintain competency in subject matter underlying AI-assisted work
  • Independently verify all AI outputs before professional use
  • Comply with all professional disclosure obligations regarding AI usage
  • Ensure professional liability insurance accounts for AI-assisted work
  • Maintain documentation demonstrating independent professional judgment

9. SERVICE AVAILABILITY AND PLATFORM MANAGEMENT

9.1 Service Availability

EASiHub provides services on an "AS IS" and "AS AVAILABLE" basis. We make no guarantees regarding continuous, uninterrupted, or secure access to any service.

9.2 Service Management Rights

EASiHub reserves the right to modify, enhance, suspend, or discontinue individual services based on business viability, operational requirements, regulatory changes, or strategic decisions.

Service modifications or discontinuation procedures include user notification, data preservation options, and account migration assistance where applicable. Individual service changes do not affect other ecosystem services.

9.3 Beta and Future Services Framework

EASiHub may offer beta, pilot, or experimental services for validation and testing. Beta services are provided 'as-is' with limited support and may be modified, discontinued, or fully launched based on testing outcomes.

Future service development is subject to available resources and market demand. New services will provide separate terms and consent opportunities while maintaining unified authentication convenience.


10. WARRANTIES, REPRESENTATIONS, AND DISCLAIMERS

10.1 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASIHUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF USER CONTENT, ACCURACY OF AI-GENERATED CONTENT, PROFESSIONAL QUALIFICATIONS OF USERS, AND SECURITY OF DATA TRANSMISSION.

10.2 Professional Services Disclaimers

EASiHub does not verify professional credentials, guarantee work quality, provide professional advice, supervise professional service delivery, or warrant compliance with professional standards.

10.3 AI-Generated Content Disclaimers

EASiHub makes no warranties regarding AI-generated or AI-assisted content including but not limited to:

  • Factual accuracy or freedom from errors
  • Completeness or comprehensiveness of information
  • Appropriateness for specific use cases or circumstances
  • Absence of bias, discrimination, or inappropriate content
  • Currency of information or reflection of latest developments
  • Compliance with professional or technical standards
  • Absence of copyright or intellectual property issues

Users assume all risks associated with using, relying on, or publishing AI-generated content.

10.4 Educational Content Disclaimers

Community content is provided for educational purposes only. Users must independently verify all information, seek appropriate professional consultation, and assume full responsibility for implementation decisions.

External Content Notice: Articles, events, bulletins, and job listings surfaced from external sources are provided for convenience only and may be inaccurate, incomplete, or outdated. EASiHub does not verify, endorse, or guarantee third-party content accuracy, completeness, or suitability.

10.5 Knowledge Hub and Article Content Framework

IMPORTANT NOTICE: This Section 10.5 establishes the general framework for Knowledge Hub Article Content. Detailed disclaimers, risk allocations, implementation warnings, and professional consultation requirements are set forth in Section V of the User Disclaimers and Risk Allocation Framework, which users affirmatively agreed to accept at account creation.

Knowledge Hub Purpose and Limitations

Knowledge Hub provides educational articles, tutorials, guides, and related content regarding enterprise software systems, implementation practices, and professional development. All Knowledge Hub content is provided exclusively for educational and informational purposes.

Nature of Article Content

Article Content available through Knowledge Hub:

  • Represents contributor perspectives, experiences, and subjective viewpoints
  • Reflects specific implementation scenarios and organizational contexts
  • May be contributor-generated, AI-assisted, or AI-generated
  • Should not be interpreted as universal truths or standardized best practices
  • Does not constitute professional advice, consulting services, or actionable business recommendations
  • Is not vendor-authorized, vendor-endorsed, or vendor-approved guidance

No Professional Relationship

CRITICAL: Nothing in Knowledge Hub Article Content creates, establishes, or implies any consultant-client, advisor-client, professional services relationship, or duty of care between EASiHub, article contributors, and readers.

Knowledge Hub content does NOT provide:

  • Professional consulting services tailored to your circumstances

Implementation Risk Warning

Enterprise software implementations involve substantial organizational, technical, financial, and operational risks. Knowledge Hub articles discussing implementation approaches represent general educational content, not implementation specifications or project plans tailored to your circumstances.

Implementation outcomes vary dramatically based on organizational readiness, technical infrastructure, data quality, vendor-specific configurations, and numerous other interdependent factors detailed in User Disclaimers Section V.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASIHUB AND ARTICLE CONTRIBUTORS ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF, RELIANCE ON, OR INABILITY TO USE KNOWLEDGE HUB ARTICLE CONTENT, INCLUDING BUT NOT LIMITED TO IMPLEMENTATION FAILURES, FINANCIAL LOSSES, BUSINESS INTERRUPTION, DATA LOSS, OR ANY OTHER DAMAGES.

EASiHub's maximum liability for any claims related to Knowledge Hub is limited to $100 or fees paid in the prior 12 months, whichever is greater, as detailed in Section 11.

11. LIMITATION OF LIABILITY AND INDEMNIFICATION

11.1 Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASIHUB'S TOTAL LIABILITY FOR ANY CLAIMS IS LIMITED TO THE FEES PAID TO EASIHUB IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

This limitation applies to all claims regardless of legal theory and covers all services, features, content, and AI functionality including Knowledge Hub Article Content.

11.2 Excluded Damages

EASIHUB IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, BUSINESS INTERRUPTION, OR DAMAGES RESULTING FROM:

  • User content or AI-generated content
  • Professional services or independent contractor relationships
  • AI-assisted work product or AI output inaccuracies
  • Knowledge Hub Article Content or implementation decisions
  • Reliance on educational content or community discussions
  • Third-party actions or service interruptions

11.3 User Indemnification

Users agree to indemnify, defend, and hold harmless EASiHub from claims arising from:

  • User violation of these terms or applicable laws
  • User content or AI-assisted content creation
  • Professional services or business relationships
  • Misuse of platform services, AI features, or Knowledge Hub content
  • Third-party claims related to user activities
  • Implementation decisions based on Knowledge Hub Article Content

11.4 Cross-Service Liability Isolation

Community participation does not create liability for marketplace activities, and marketplace participation does not create liability for community activities. Each service maintains independent liability frameworks.

Knowledge Hub Article Content usage does not create liability for professional services delivered through other services.


12. ACCOUNT MANAGEMENT AND TERMINATION

12.1 Account Suspension and Termination Rights

EASiHub may suspend or terminate user accounts for violation of these terms, fraudulent or illegal activities, professional misconduct, non-payment of fees, risk management requirements, or misuse of AI services or Knowledge Hub content.

12.2 Termination Effects

Upon termination: access ceases immediately, user data may be deleted according to retention policies, payment obligations remain due, ongoing professional agreements continue between users, and AI processing data is deleted within standard retention periods.

12.3 Data Preservation and Export

Before termination, users may export available personal data, complete pending transactions, preserve business records independently, and transfer professional relationships outside the platform.

12.4 Survival

Sections relating to fees due, content license, EASiHub IP, disclaimers, limitations of liability, indemnities, dispute resolution, privacy commitments, and provisions which by their nature should survive, will survive termination.


13. COMPLIANCE FRAMEWORK

13.1 User Responsibility

Users are solely responsible for determining and fulfilling their tax, regulatory, and legal compliance obligations related to their use of EASiHub services, including:

  • AI-assisted work disclosure requirements
  • Professional standards compliance
  • Content publication obligations
  • Copyright and intellectual property compliance
  • Industry-specific regulatory requirements

13.2 Platform Compliance Support

EASiHub may provide compliance-related information and tools, but users must independently verify all obligations and seek professional advice as needed.


14. VENDOR INDEPENDENCE AND EDUCATIONAL FRAMEWORK

14.1 Independent Platform Declaration

EASiHub operates independently as an educational supplement to official vendor resources. We are not affiliated with, endorsed by, or controlled by any enterprise software vendors including SAP, Oracle, Microsoft, Salesforce, Workday, ServiceNow, or other enterprise application providers.

14.2 Platform Independence Principles

Editorial Independence
All platform content, recommendations, and discussions including Knowledge Hub Article Content are independent of vendor influence or commercial pressure.

Educational Focus
Platform serves educational and professional development purposes, not commercial promotion or vendor advocacy.

Supplementary Resource
EASiHub complements but does not replace official vendor forums, documentation, or support channels. Users must consult official vendor resources for authoritative information.

No Vendor Endorsement or Partnership
References to enterprise software vendors, product names, or solutions do not constitute: (i) endorsement or recommendation of any vendor's products or services; (ii) certification or validation of vendor claims regarding functionality or capabilities; (iii) business relationships, partnerships, or affiliate arrangements with vendors; or (iv) authorization to speak on behalf of any vendor or represent vendor positions.

All product discussions constitute independent editorial commentary exercising protected speech rights under California law, including anti-SLAPP protections under California Code of Civil Procedure § 425.16.

Fair Use Educational Commentary
References to vendor products, features, and technical specifications in Knowledge Hub and community content constitute fair use educational commentary for identification, discussion, and analysis purposes.


15. INTERNATIONAL COMPLIANCE FRAMEWORK

15.1 Cross-Border Service Compliance

International users must comply with local laws regarding data protection, professional licensing, export controls, and industry-specific regulations in their respective jurisdictions.

15.2 Current International Support

Primary platform operation in English during U.S. business hours with GDPR and CCPA compliance based on current technical capabilities. Regional data processing preferences when technically feasible.


16. DISPUTE RESOLUTION AND GOVERNING LAW

16.1 Informal Resolution

Before filing a claim, a party must send a Notice of Dispute to legal@easihub.com describing the claim and requested relief. If not resolved within 30 days, either party may commence arbitration or small-claims action as applicable.

16.2 Binding Arbitration Framework

Except for small claims court matters under $5,000, all disputes must be resolved through binding individual arbitration under AAA or JAMS rules.

16.3 Class Action Waiver

Users waive the right to participate in class actions, representative actions, or collective proceedings. All claims must be brought individually.

16.4 Arbitration Opt-Out

Users may opt out of mandatory arbitration by providing written notice to legal@easihub.com within 30 days of account creation or these terms taking effect.

16.5 Governing Law and Venue

These terms are governed by California law without regard to conflict of law principles. Non-arbitrable matters are subject to exclusive jurisdiction in San Diego County, California state or federal courts.

California Anti-SLAPP Protection: California's anti-SLAPP statute (California Code of Civil Procedure § 425.16) applies to protect platform speech, editorial functions, and user-generated content from meritless litigation. This protection includes potential recovery of attorney fees for defending against frivolous claims targeting protected speech activities.


17. SERVICE MANAGEMENT AND OPERATIONAL FRAMEWORK

17.1 Operational Standards

Current service levels, response procedures, and operational commitments are maintained in our Service Level Agreement and Help Center. These are non-binding targets subject to commercial reasonableness standards.

17.2 Terms Modification

We may modify these Master Terms by providing notice through the platform and updating our Legal Change Log. Continued use constitutes acceptance of modifications.

17.3 Service Evolution

EASiHub reserves the right to modify, enhance, or discontinue services with appropriate notice as detailed in applicable service-specific terms.


18. GENERAL PROVISIONS

18.1 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

18.2 No Third-Party Beneficiaries

Except for our service providers to the extent necessary to enforce these Terms, there are no third-party beneficiaries.

18.3 Publicity

We may identify your organization name and logo as a customer in our online customer list and marketing materials. You may opt out by notifying us at legal@easihub.com.

18.4 Entire Agreement

These Master Terms, together with the User Disclaimers and Risk Allocation Framework, Privacy Policy, Acceptable Use Policy, and incorporated policies, constitute the entire agreement between you and EASiHub regarding the Services.

18.5 Severability

If any provision is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, severed, and the remaining provisions will continue in full force and effect.

18.6 Waiver

No waiver of any provision is effective unless in writing and signed by an authorized EASiHub representative. No waiver of any breach constitutes a waiver of any subsequent breach.

18.7 Force Majeure

EASiHub is not liable for any failure or delay in performance due to circumstances beyond our reasonable control including acts of God, natural disasters, pandemics, war, terrorism, government actions, internet failures, or cyberattacks.
